TERMS AND CONDITIONS

For purposes of these T&Cs, the capitalized terms used herein shall have the meanings assigned to them below, unless the context expressly requires otherwise.

• "ACCOUNT" means the profile, registration environment, logical identifier, subscription profile or authentication environment associated with a USER for purposes of accessing and using the SERVICES.
• "DEVICE" means any computer, browser environment, operating system, hardware environment, endpoint, mobile environment, external storage medium or technological infrastructure used by the USER to access or interact with the PLATFORM.
• "MASTER PASSWORD" means the authentication secret, encryption phrase, vault key or equivalent credential exclusively controlled by the USER and used to derive or enable access to encrypted vault contents.
• "PASSWORD VAULT" means the encrypted environment used by the USER to store, organize, manage or retrieve credentials, passwords or authentication-related information through the PLATFORM.
• "QUANTUM-RESISTANT MODE" means the proprietary password-generation methodology, logic, cryptographic approach, entropy model or generation process commercially identified by PICUBE as a security-enhanced password-generation functionality.
• "QUANTUM-RESISTANT VERIFICATION MARK" means the proprietary visual mark, identifier, seal, designation, iconography or branding element associated with PICUBE's proprietary security model and methodologies.
• "SERVICES" means the technological functionalities, password-generation services, encrypted-vault services, authentication environments, subscription features, account-management tools, software functionalities and related services made available through the PLATFORM.
• "USER" means any individual or legal entity that accesses, browses, interacts with, registers with, subscribes to, authenticates through, or otherwise uses the PLATFORM.

Definitions stated in the singular shall include the plural and vice versa whenever the context permits. Headings and numbering are included solely for organizational purposes and shall not affect interpretation.

The mere access to, browsing of, interaction with, registration within, authentication through, or use of the PLATFORM shall constitute full, express and binding acceptance of these T&Cs and all related policies incorporated herein by reference.

Whenever these T&Cs refer to the USER, such term shall include any visitor, free-tier user, subscriber, enterprise client, trial user, or any person or entity interacting with the PLATFORM regardless of whether such interaction involves payment, registration or active storage of credentials.

PICUBE is a web-based password-management and password-generation platform designed to facilitate the secure generation, organization, storage and management of credentials through a device-local and client-side encryption architecture.

The PLATFORM includes both free-tier and subscription-based functionalities, including encrypted vault capabilities, password-generation tools, proprietary security-oriented generation methodologies, usage analytics, tracking technologies, subscription-management environments and related services.

PICUBE is not a financial institution, is not a banking platform, is not a cybersecurity insurer, is not a provider of guaranteed cybersecurity protection, is not a digital identity authority, and does not guarantee immunity against cyberattacks, credential theft, malware, future computational developments or any other present or future cybersecurity threat.

The USER expressly acknowledges that PICUBE provides a technological tool intended to enhance password-management practices and credential organization; however, the SERVICES do not eliminate cybersecurity risks, do not constitute an infallible protection mechanism, and do not guarantee absolute, perpetual or future-proof security.

PICUBE may offer multiple service tiers, including free-tier environments and subscription-based plans, including but not limited to “Silver” and “Gold” subscription models, each of which may include different functionalities, limitations, storage capacities, tracking environments, password-generation capabilities and access conditions.

The USER expressly acknowledges that free-tier environments may contain usage limitations, advertising integrations, behavioural tracking technologies, storage caps, restricted access to certain functionalities and other operational limitations determined by PICUBE from time to time.

Paid subscription tiers may include expanded vault capacities, access to QUANTUM-RESISTANT MODE, premium functionalities, modified tracking environments, reduced advertising experiences, enhanced operational features and additional functionalities subject to payment of the applicable subscription fees.

PICUBE reserves the right to modify subscription structures, pricing models, billing cycles, feature availability, access limitations, upgrade conditions, downgrade mechanisms, payment methods and commercial conditions at any time, subject to applicable law and reasonable electronic notice where required.

The USER further acknowledges that downgrading from a paid subscription tier to a free-tier environment may result in reduced functionality, access limitations, read-only restrictions, storage limitations or other operational consequences determined by PICUBE from time to time.

Unless otherwise required under applicable law, subscription fees are non-refundable and PICUBE does not guarantee uninterrupted availability of premium functionalities or compatibility with all DEVICES, browser environments or operating systems.

The USER acknowledges and agrees that the use of password-management services, encrypted-vault technologies, cryptographic methodologies, browser-based infrastructures, authentication systems and cybersecurity-related services entails significant technical, operational, legal and cybersecurity risks, some of which may be foreseeable and others inherently unpredictable.

The USER further acknowledges that cybersecurity threats, malware, phishing attacks, browser exploits, operating-system compromises, hardware failures, malicious extensions, credential theft, social-engineering attacks, synchronization errors, corruption of local environments, cloud-backup inconsistencies, interoperability failures, software vulnerabilities, future computational developments, cryptographic weaknesses and unforeseen technological advancements may affect the integrity, availability, confidentiality or accessibility of credentials stored through the PLATFORM.

PICUBE does not guarantee uninterrupted availability of the SERVICES and may perform maintenance, updates, migrations, infrastructure changes, software modifications, operational suspensions, security patching or technical reconfigurations whenever deemed necessary for operational, security or compliance purposes.

The USER expressly acknowledges that no password-management solution, encryption standard, cybersecurity architecture, cryptographic methodology or technological infrastructure can guarantee absolute, perpetual or future-proof security protection against all present or future attack vectors.

References to “Quantum-Resistant”, “Quantum-Resistant Mode”, “Quantum-Resistant Verification Mark” or similar terminology refer exclusively to proprietary methodologies, password-generation approaches, entropy models, security-oriented computational methodologies or technological approaches implemented by PICUBE and shall not be construed as guarantees of invulnerability, immunity, impossibility of compromise or absolute protection against future computational developments or quantum-computing capabilities.

The USER further acknowledges that the effectiveness of the SERVICES depends substantially on factors beyond PICUBE’s control, including the USER’s DEVICE security, browser integrity, operating-system hygiene, local storage conditions, user behaviour, password-management practices, backup environments and general cybersecurity posture.

Accordingly, the USER expressly assumes all risks associated with the use of the PLATFORM and releases PICUBE, to the maximum extent permitted by applicable law, from liability arising out of or related to cybersecurity incidents, unauthorized access, credential compromise, malware infections, cryptographic failures, loss of encrypted vault contents, technological incompatibilities or future security developments affecting the SERVICES or the USER’s environment.

THE PLATFORM AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE.

THE USER ASSUMES ALL RESPONSIBILITY AND RISK FOR THE SELECTION OF THE SERVICES TO ACHIEVE THEIR INTENDED RESULTS AND FOR THE USE OF, AND RESULTS OBTAINED FROM, THE SERVICES. PICUBE DOES NOT WARRANT THAT THE SERVICES WILL PROTECT AGAINST EVERY CONCEIVABLE ATTACK VECTOR OR COMPUTATIONAL PARADIGM, INCLUDING FUTURE QUANTUM COMPUTING THREATS BEYOND THE SPECIFIED SCOPE OF ITS IMPLEMENTED SECURITY STANDARDS.

The USER acknowledges and agrees that certain free-tier functionalities of the PLATFORM may include behavioural analytics, usage telemetry, advertising integrations, cookies, tracking technologies and related data-processing activities as further described in the applicable Privacy Policy and Cookie Policy.

PICUBE may process technical information including IP addresses, browser metadata, session information, user-agent information, timestamps, interaction events, subscription metadata and operational logs for purposes including security, abuse prevention, analytics, performance optimization, advertising management and service improvement.

The USER further acknowledges that free-tier environments may be supported, in whole or in part, through advertising and behavioural analytics integrations implemented by third-party providers.

Paid subscription tiers may modify, reduce or eliminate certain tracking and advertising functionalities, subject to the subscription configuration applicable at the relevant time.

The USER agrees not to use the PLATFORM for unlawful purposes, to store or manage credentials obtained unlawfully, to engage in abusive or malicious conduct, to attempt unauthorized access to the PLATFORM or related infrastructure, to reverse engineer proprietary methodologies associated with QUANTUM-RESISTANT MODE, to interfere with the operational integrity of the SERVICES, to perform unauthorized security testing, to scrape or harvest platform data, or otherwise use the PLATFORM in violation of applicable law or third-party rights.

PICUBE reserves the right to suspend, restrict or terminate access whenever it determines, at its sole discretion, that the USER has violated these T&Cs or engaged in conduct incompatible with the integrity, security or intended operation of the PLATFORM.

All software, source code, object code, scripts, developments, compilations, algorithms, cryptographic methodologies, password-generation models, security architectures, computational logic, proprietary processes, authentication tools, encryption structures, interfaces, APIs, dashboards, designs, layouts, visual elements, configurations, technological infrastructure, workflows, documentation, manuals, texts, content, images, graphic materials, audiovisual materials, databases, compilations, reports, methodologies, know-how, trade secrets, confidential information, trademarks, trade names, logos, denominations, distinctive signs, iconography, product names, functionalities, product concepts, operational models and, in general, any element, component or development comprising, integrated into, associated with or forming part of the PLATFORM, including, without limitation, PICUBE, P³, Pi-Cube, QUANTUM-RESISTANT MODE, the QUANTUM-RESISTANT VERIFICATION MARK and any proprietary methodologies associated with password generation or security architectures, are and shall remain the exclusive property of PICUBE, smarkt Technologies and/or their respective licensors, and are protected by applicable laws governing intellectual property, copyright, industrial property, trade secrets, unfair competition, information technologies and any other applicable legal protections in the relevant jurisdictions.

Access to and use of the PLATFORM do not grant the USER any ownership right, implied license, assignment, transfer, authorization or concession whatsoever other than the limited right strictly necessary for the lawful and authorized use of the SERVICES in accordance with these T&Cs. Consequently, the USER may not, directly or indirectly, copy, reproduce, modify, adapt, translate, sublicense, sell, assign, lease, distribute, replicate, publish, publicly communicate, retransmit, decompile, disassemble, reverse engineer, attempt to derive source code, reconstruct computational logic, replicate cryptographic methodologies, extract generation models, create derivative works, develop competing products, commercially exploit or otherwise use without authorization any component of the PLATFORM or any element associated with the SERVICES.

The USER expressly acknowledges that the password-generation methodologies, entropy models, cryptographic processes, authentication structures, zero-knowledge architectures, security models, technological workflows and other technical components implemented by PICUBE may constitute confidential information, proprietary know-how and valuable trade secrets with substantial commercial value, with respect to which PICUBE retains all exclusive rights of ownership, exploitation, reservation and protection.

Likewise, the USER shall refrain from conducting unauthorized extraction attempts, analysis, competitive benchmarking, scraping, crawling, automated monitoring, traffic analysis, functional replication, model training, data mining, pattern extraction or any other activity intended to identify, reproduce, exploit or otherwise benefit from the technological components, proprietary methodologies or internal logic of the PLATFORM.

Any unauthorized use of the PLATFORM or any of its components shall constitute a violation of PICUBE’s intellectual property rights, industrial property rights, trade secrets and proprietary rights and may give rise to the exercise of any and all civil, commercial, administrative, injunctive or criminal actions available under applicable law.

Without prejudice to the foregoing, PICUBE expressly reserves all rights not expressly granted to the USER under these T&Cs, including any rights relating to future updates, enhancements, developments, adaptations, additional functionalities, integrations, artificial-intelligence models, future cryptographic methodologies or new security architectures implemented with respect to the PLATFORM or the SERVICES.

To the maximum extent permitted by applicable law, PICUBE shall not be liable for any indirect, incidental, consequential, punitive, exemplary or special damages arising out of or related to the use of, inability to use, interruption of, or compromise affecting the PLATFORM.

Without limitation, PICUBE shall not be liable for loss of passwords, loss of access to encrypted vault contents, forgotten MASTER PASSWORDS, malware infections, browser compromises, hardware failures, device theft, credential theft, phishing attacks, future cryptographic vulnerabilities, unauthorized third-party access, data corruption, business interruption, loss of profits, loss of goodwill or any cybersecurity incident arising from factors beyond PICUBE’s reasonable operational control.

The aggregate liability of PICUBE arising out of or relating to these T&Cs shall in no event exceed the total amount effectively paid by the USER to PICUBE during the three-month period immediately preceding the event giving rise to the relevant claim.

PICUBE may suspend, restrict, disable or terminate access to the PLATFORM at any time and without prior notice whenever it determines that such action is necessary for security, maintenance, compliance, anti-abuse, operational or legal purposes.

Termination or suspension shall not entitle the USER to compensation, indemnification or reimbursement except where expressly required under applicable law.

PICUBE reserves the right to modify, restate, update or amend these T&Cs and any related policies at any time.

Such amendments shall become effective upon publication or electronic notification through the PLATFORM or related communication channels.

Continued use of the PLATFORM following such amendments shall constitute acceptance thereof.

These Terms and Conditions, as well as any legal relationship arising from or related to the access to, browsing of, registration with, authentication through, subscription to, interaction with, or use of the PLATFORM, including, without limitation, any use of the PASSWORD VAULT, password-generation functionalities, QUANTUM-RESISTANT MODE, subscription environments, authentication systems, tracking technologies or any other technological component associated with PICUBE, shall be governed by and construed in accordance with the federal laws of the United Mexican States, excluding any conflict-of-laws rule that could refer to the application of foreign law.

Any controversy, claim or dispute arising out of or in connection with these Terms and Conditions, including, without limitation, any matter relating to their interpretation, validity, enforceability, performance, breach, suspension, termination or nullity, shall be finally resolved by arbitration administered by the International Court of Arbitration of the International Chamber of Commerce (ICC), in accordance with its Rules in force at the time the request for arbitration is filed.

The seat of arbitration shall be Mexico City, United Mexican States, the proceedings shall be conducted in the English language, and the dispute shall be resolved by one or more arbitrators appointed in accordance with such Rules. The arbitral award shall be final, binding and enforceable upon the parties and may be enforced in any jurisdiction having competent authority.

Without prejudice to the foregoing, the parties expressly acknowledge and agree that PICUBE may, at any time, seek interim, provisional, precautionary or urgent relief before competent judicial, administrative or regulatory authorities, including, without limitation, relief relating to the protection of intellectual property rights, proprietary cryptographic methodologies, confidential information, cybersecurity infrastructure, authentication systems, operational integrity, trade secrets, platform security or any other proprietary or operational interest associated with the PLATFORM or the SERVICES.

The USER expressly acknowledges and agree that access to and use of the PLATFORM may be subject to legal, regulatory, cybersecurity, privacy, consumer-protection, encryption-control, data-protection or public-policy provisions applicable in the jurisdiction from which the USER accesses the PLATFORM, in which the USER resides, in which the USER is located, or in which the legal or operational effects of the SERVICES may arise, including, without limitation, laws relating to cybersecurity services, encryption technologies, personal-data protection, consumer rights, behavioural tracking, advertising technologies, subscription services, electronic communications, sanctions, export controls, trade restrictions or digital-security regulations.

In this regard, it shall be the USER’s sole responsibility to ensure compliance with all laws, regulations and legal obligations applicable to the USER in connection with access to or use of the PLATFORM, releasing PICUBE, to the maximum extent permitted by applicable law, from any liability arising out of or related to regulatory non-compliance attributable to the USER.

PICUBE does not guarantee that the PLATFORM, the SERVICES, QUANTUM-RESISTANT MODE, subscription environments, password-generation functionalities, tracking technologies or any other technological component associated with the PLATFORM are appropriate, lawful or available in all jurisdictions and may therefore, at any time and at its sole discretion, restrict, limit, condition, suspend or prohibit access to or use of the PLATFORM from certain territories, countries or regions, whether generally or with respect to particular USERS, without giving rise to any right to compensation, indemnification or reimbursement.

Likewise, PICUBE reserves the right to deny, restrict, suspend or terminate access to the PLATFORM whenever it determines that use thereof could entail a legal, cybersecurity, regulatory, operational, reputational or compliance risk, including, without limitation, circumstances in which the operation of the SERVICES could require authorizations, registrations, licenses, regulatory approvals or compliance obligations not implemented, adopted or assumed by PICUBE.

These Terms and Conditions do not constitute an offer of services in jurisdictions where such offering is prohibited or restricted under applicable law, nor shall they be construed as implying any intention on the part of PICUBE to subject itself to regulatory frameworks other than those expressly adopted by the entity operating the PLATFORM.
